PRONTOLAWDOC LICENSEE TERMS AND CONDITIONS

1. DESCRIPTION OF SERVICE
1.1 PRONTOLawDOC is a patent-pending, technology-based document automation and delivery platform operating exclusively in the field of estate planning law.
1.2 Technology Platform Only. PRONTOLawDOC is a legal technology platform — not a law firm. PRONTOLawDOC does not provide legal advice, does not represent any client of Licensee, and does not establish an attorney-client relationship with any end user.
1.3 Subject to the terms of this Agreement and payment of applicable fees, PLD grants Licensee a limited, non-exclusive, non-transferable license to access and use the PRONTOLawDOC platform.
1.4 Patent-Pending Technology. The document automation processes and delivery systems underlying PRONTOLawDOC are the subject of a pending patent application. Licensee agrees not to reverse engineer, copy, or attempt to replicate any aspect of the platform.
2. LICENSEE OBLIGATIONS AND PROFESSIONAL RESPONSIBILITY
2.1 Attorney Consultation Requirement. Licensee expressly acknowledges and agrees that:
(a) All documents generated through PRONTOLawDOC are draft documents only and are not legally valid until reviewed, approved, and finalized by a licensed attorney;
(b) Licensee must conduct a consultation with each client before the client may execute, rely upon, or use any document generated through the platform;
(c) It is solely the duty and responsibility of the Licensee to confirm, schedule, and conduct each client consultation, whether in person or via remote platform;
(d) Licensee is solely responsible for managing all logistics of client consultations;
(e) PRONTOLawDOC has no role in and no responsibility for the scheduling, conducting, or outcome of any client consultation.
2.2 Licensee represents and warrants that they are a licensed attorney in good standing in the state(s) for which they are generating documents, and will comply with all applicable Rules of Professional Conduct.
3. INDEMNIFICATION
3.1 Licensee agrees to fully and unconditionally indemnify, defend, and hold harmless Vickers Russe Law, PLLC, PRONTOLawDOC, and their respective members, managers, officers, employees, and agents from and against any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys fees) arising out of or related to:
(a) Any claim by Licensee's client that a document generated through PRONTOLawDOC contains errors, omissions, or inaccuracies;
(b) Any claim that a document is not legally valid or fails to meet applicable statutory requirements or professional standards;
(c) Licensee's failure to conduct a required consultation prior to the client executing any document;
(d) Licensee's failure to independently review, verify, and approve any document before delivering it to a client;
(e) Any act, omission, negligence, or professional misconduct of Licensee;
(f) Any violation by Licensee of applicable Rules of Professional Conduct or state bar regulations;
(g) Any claim arising from Licensee's client relationship, including malpractice, negligence, or breach of fiduciary duty;
(h) Any claim arising from use of the platform in a jurisdiction where Licensee is not licensed.
4. DISCLAIMER OF WARRANTIES
THE PRONTOLAWDOC PLATFORM AND ALL DOCUMENTS ARE PROVIDED ON AN "AS-IS" BASIS WITHOUT WARRANTIES OF ANY KIND. PLD MAKES NO REPRESENTATION THAT DOCUMENTS WILL BE LEGALLY VALID OR APPROPRIATE FOR ANY PARTICULAR CLIENT'S CIRCUMSTANCES. ALL DOCUMENTS ARE DRAFTS REQUIRING INDEPENDENT REVIEW BY A LICENSED ATTORNEY.
5. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL VICKERS RUSSE LAW, PLLC OR PRONTOLAWDOC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. PLD'S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL FEES PAID IN THE THREE MONTHS PRECEDING THE CLAIM.
6. PAYMENT TERMS
License fees are billed on a 6-month or 12-month subscription basis. All fees are non-refundable. Subscriptions automatically renew unless cancelled by contacting support@prontolawdoc.com. Cancellation takes effect at the end of the current billing period.
7. INTELLECTUAL PROPERTY
All intellectual property rights in PRONTOLawDOC, including patent-pending technology, templates, and workflows, are the exclusive property of Vickers Russe Law, PLLC. Licensee may not copy, sublicense, reverse engineer, or use the platform to build a competing product.
8. CONFIDENTIALITY AND DATA
Licensee is solely responsible for ensuring that their collection and use of client data complies with all applicable privacy laws and bar rules regarding client confidentiality. PLD retains order and document data for one year. Licensee is responsible for maintaining their own client records.
9. TERM AND TERMINATION
PLD may terminate this Agreement immediately if Licensee breaches any material provision, is suspended or disbarred, or fails to pay fees. Upon termination, Sections 3, 4, 5, and 7 survive.
10. GOVERNING LAW
This Agreement is governed by the laws of the State of North Carolina. Any dispute shall be subject to the exclusive jurisdiction of the courts in Mecklenburg County, North Carolina.
ACKNOWLEDGMENT
BY CLICKING "I AGREE," LICENSEE ACKNOWLEDGES THAT: (1) all documents are drafts only; (2) Licensee must conduct a client consultation before any document is executed; (3) Licensee accepts full indemnification obligations as set forth above.
